Welcome to MacrosLM. Please read these Terms of Service carefully before accessing or using our platform. These Terms of Service ("Terms") govern your use of MacrosLM platform, products, AI agents, and any associated applications, software, and websites (collectively, the "Services"). These Terms constitute a binding agreement between you and MacrosLM, Inc. ("MacrosLM," "we," "us," or "our"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Acceptable Use Policy.

1. Who We Are

MacrosLM is an AI workspace built for professional work. We build software that works with the files and data you already use — spreadsheets, PDFs, scanned documents, databases — and helps you produce the deliverables your work actually requires. MacrosLM reads through large volumes of source material and pulls out what's relevant for the task in front of you. Our mission is to deliver AI systems that are reliable, transparent, and purpose-built for professional workflows.

2. Account Creation and Access

Eligibility. You must be at least 18 years old or the minimum age required in your jurisdiction to enter into a binding agreement, whichever is higher, to create an account and use the Services.

Your Account. To access certain features of our Services, you must create an account ("Account"). You agree to provide accurate, current, and complete information during registration and to keep your Account information updated. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must not share your login credentials or make your Account available to any other person or entity.

Notification of Unauthorized Use. You agree to notify us immediately at contact@macroslm.com if you become aware of any unauthorized access to or use of your Account.

Organizational Accounts. If you use an email address provided by your employer or another organization, your Account may be associated with that organization's enterprise account. The organization's administrator may have the ability to manage your Account, access your data, and control your use of the Services in accordance with the organization's policies.

Account Termination. You may close your Account at any time by contacting us at contact@macroslm.com. We may suspend or terminate your Account if we reasonably believe you have violated these Terms or if required by law.

3. Description of Services

MacrosLM provides an AI workspace that enables users to connect or upload the files and data they already work with — including spreadsheets, PDFs, scanned documents, databases, and other source materials — and deploy AI agents that read, process, and synthesize that material into the deliverables their professional work requires. The output of these processes constitutes professional deliverables generated through the Services.

4. Use of Our Services

You may access and use our Services only in compliance with these Terms, our Acceptable Use Policy, and all applicable laws and regulations. You are responsible for all activity conducted through your Account.

Prohibited Uses. You may not access or use, or assist another person in accessing or using, our Services in any of the following ways:

(a) In violation of any applicable law, regulation, or governmental order, including without limitation export control and data protection laws.

(b) To develop competing products or services, or to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying models of our Services.

(c) To scrape, crawl, or harvest data from our Services other than as expressly permitted.

(d) To gain unauthorized access to any system, network, or data, or to use the Services to deceive any person.

(e) To infringe, misappropriate, or violate the intellectual property, privacy, or other legal rights of any third party.

(f) To upload, transmit, or process any data that you do not have the lawful right to process or that violates any third party's rights.

(g) To access the Services through automated means (bots, scripts, or similar) except through our designated APIs or with our prior written consent.

(h) To interfere with, disrupt, or impose an unreasonable burden on the Services or the networks and infrastructure supporting them, including by introducing malicious code, viruses, or conducting denial-of-service attacks.

(i) To use the Services to generate outputs that you represent as being created by a human when disclosure of AI involvement is required by applicable law or professional standards.

(j) To use the Services for any purpose that could expose MacrosLM, its users, or any third party to liability, harm, or reputational damage.

5. Your Data: Inputs, Outputs, and Materials

Definitions. "Inputs" means all data, files, documents, instructions, and other content you submit to, upload to, or connect with the Services. "Outputs" means all results, deliverables, analyses, extractions, reports, and other content generated by the Services based on your Inputs. "Materials" collectively refers to Inputs and Outputs.

Ownership of Inputs. As between you and MacrosLM, you retain all right, title, and interest in and to your Inputs, subject to the license granted below.

License to Process Inputs. By submitting Inputs to the Services, you grant MacrosLM a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display your Inputs solely as necessary to provide the Services to you, maintain and improve the Services, and comply with applicable law. This license terminates when you delete your Inputs from the Services or close your Account, except as required for backup, legal compliance, or as otherwise described in these Terms.

Ownership of Outputs. Subject to your compliance with these Terms and any applicable subscription or licensing terms, and to the extent permitted by applicable law, MacrosLM assigns to you all of its right, title, and interest (if any) in and to the Outputs generated specifically for you through your use of the Services.

Representations and Warranties Regarding Inputs. You represent and warrant that: (a) you have all necessary rights, licenses, and permissions to submit your Inputs to the Services; (b) your Inputs do not violate these Terms, our Acceptable Use Policy, or any applicable law; and (c) your Inputs do not infringe or misappropriate the rights of any third party.

Accuracy and Reliance on Outputs. AI-generated outputs may contain inaccuracies, errors, or omissions. You acknowledge and agree that:

Use of Materials for Improvement. We may use anonymized and aggregated data derived from your use of the Services to improve our models, algorithms, and Services, unless you opt out through your Account settings or a separate written agreement with us provides otherwise. We will not use your identifiable Inputs to train generally available models without your explicit consent.

6. Data Security and Confidentiality

Security Measures. We implement commercially reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of your data. Details of our security practices are available upon request.

Confidentiality. We will treat your Inputs as confidential and will not disclose them to third parties except: (a) as necessary to provide the Services; (b) with your consent; (c) to comply with applicable law, legal process, or governmental request; or (d) in anonymized or aggregated form that cannot reasonably be used to identify you or your data.

Data Processing. If your use of the Services involves the processing of personal data subject to applicable data protection laws (including GDPR, CCPA, or similar frameworks), additional terms regarding data processing may apply and will be made available to you upon request or through a separate Data Processing Agreement.

7. Subscriptions, Fees, and Payment

Fees. Access to certain features or tiers of the Services may require payment of fees. Applicable fees will be communicated to you through the Services or in a separate order form or agreement.

Payment. If you purchase a subscription or paid plan, you agree to provide accurate and complete billing information and authorize us to charge your designated payment method for all applicable fees and taxes.

Recurring Charges. Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method automatically at each renewal period until you cancel.

Cancellation. You may cancel your subscription at any time through your Account settings or by contacting contact@macroslm.com. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial billing periods unless required by applicable law.

Fee Changes. We may modify our fees upon at least 30 days' prior notice. Continued use of the Services after the fee change takes effect constitutes your acceptance of the new fees. If you do not accept the new fees, you must cancel your subscription before the next renewal date.

Non-Refundable. Except as expressly provided in these Terms or as required by applicable law, all fees are non-refundable.

8. Intellectual Property

Our Services. The Services, including all software, models, algorithms, interfaces, documentation, and related intellectual property, are and remain the exclusive property of MacrosLM and its licensors. These Terms do not grant you any ownership interest in or to the Services, and all rights not expressly granted herein are reserved by MacrosLM.

Restrictions. You may not use MacrosLM' name, logos, trademarks, or branding without our prior written permission, except as reasonably necessary to identify your use of the Services. To request permission, contact contact@macroslm.com.

Feedback. If you provide us with suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without obligation or compensation to you.

9. Third-Party Services and Integrations

Our Services may integrate with or link to third-party services, platforms, or content — including the file storage, database, and productivity tools you connect to your workspace. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is governed by their respective terms and policies. We are not liable for any loss or damage arising from your use of or reliance on any third-party services or content.

10. Software and Updates

We may release updates, patches, or new versions of our software, applications, or agents ("MacrosLM Software") at any time, with or without prior notice. Some updates may be applied automatically. MacrosLM Software may include open source components, which are governed by their respective license terms to the extent those terms conflict with these Terms.

11. Disclaimer of Warranties

Your use of the Services, Outputs, and Materials is at your own risk. The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, MacrosLM and its affiliates, licensors, and service providers (collectively, the "MacrosLM Parties") expressly disclaim all warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and any warranties arising from course of dealing or trade usage.

Without limiting the foregoing, MacrosLM does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the Outputs will be accurate, complete, or reliable; (c) the Services will meet your specific requirements; or (d) any errors in the Services will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MacrosLM Parties be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or related to your use of or inability to use the Services, the Materials, or these Terms, regardless of the legal theory and even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, MacrosLM Parties' total aggregate liability arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to MacrosLM in the six (6) months preceding the event giving rise to liability; or (b) one hundred U.S. dollars ($100).

The limitations in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if a limited remedy set forth herein is found to have failed of its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless MacrosLM Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Services or Materials; (c) your Inputs or any data you submit to the Services; (d) your violation of applicable law or the rights of any third party; or (e) any dispute between you and a third party relating to the Services.

14. Changes to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes or discontinuation of core features. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements, or business practices. If we make material changes, we will notify you by posting the updated Terms on our website, through the Services, or by other reasonable means at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you must discontinue your use of the Services.

16. Termination

By You. You may stop using the Services and close your Account at any time by contacting contact@macroslm.com.

By Us. We may suspend or terminate your access to the Services immediately and without prior notice if: (a) you breach these Terms; (b) we are required to do so by law; (c) your continued use poses a security risk to the Services or other users; or (d) your Account has been inactive for more than twelve (12) months (in which case we will provide reasonable prior notice).

Effect of Termination. Upon termination: (a) your license to access and use the Services immediately ceases; (b) you must cease all use of the Services; and (c) we may delete your Account and associated Materials after a reasonable retention period, unless we are required to retain them by law. Sections 5 (to the extent applicable to post-termination rights), 8, 11, 12, 13, 17, and 18 shall survive termination.

Data Retrieval. Upon your request made within thirty (30) days following termination, we will make commercially reasonable efforts to provide you with a copy of your Inputs in a standard format, unless we are prohibited from doing so by law or these Terms.

17. Governing Law and Dispute Resolution

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Exclusive Jurisdiction. You and MacrosLM agree that any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and each party consents to the personal and exclusive jurisdiction of those courts.

Equitable Relief. You acknowledge that a breach of Section 4 (Use of Our Services) or Section 8 (Intellectual Property) may cause irreparable harm for which monetary damages would be inadequate, and you agree that MacrosLM shall be entitled to seek equitable relief (including injunction and specific performance) without the necessity of proving actual damages or posting a bond.

18. General Provisions

Entire Agreement. These Terms, together with any supplemental terms, order forms, or policies expressly incorporated by reference, constitute the entire agreement between you and MacrosLM regarding the subject matter hereof and supersede all prior agreements, understandings, and communications.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Export Compliance. You represent and warrant that you are not located in, or a resident or national of, any country subject to U.S. trade sanctions or embargoes, and that you are not on any U.S. government restricted party list. You shall not access or use the Services in violation of any applicable export control or sanctions laws.

Force Majeure. MacrosLM shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or failures of third-party infrastructure.

Notices. All notices to MacrosLM under these Terms shall be sent to contact@macroslm.com. Notices to you will be sent to the email address associated with your Account. Email notices are deemed received on the business day following transmission.
